RepoShield AI ("the Service") is an automated security analysis tool that uses static analysis and artificial intelligence to identify potential vulnerabilities in software code.

By using the Service, you acknowledge that we are NOT responsible for any security breaches, data loss, system failures, or damages that may occur to your software or infrastructure, even after implementing our suggestions. You assume full responsibility for reviewing, testing, and validating any code or advice provided by the Service before deploying it to production.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

IN NO EVENT SHALL REPOSHIELD AI, ITS OWNERS, AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICE, REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE AMOUNT PAID BY YOU TO USE THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. FOR FREE TIER USERS, OUR LIABILITY IS LIMITED TO €0.00.

If you use the Free Tier of RepoShield AI, you explicitly grant us a non-exclusive, worldwide, royalty-free license to process fragments of your analyzed code for the purpose of service delivery.

You understand and agree that anonymized code snippets from Free Tier scans may be processed by third-party AI providers (including Google Vertex AI) and may be used for service improvement or model training purposes. If you require strict data privacy and zero-retention assurances, you must upgrade to a Paid Plan.

You agree not to misuse the Service. Specifically, you are prohibited from:

• Reverse engineering, decompiling, or attempting to extract the source code or proprietary algorithms of the Service.
• Using the Service to analyze code you do not own or have explicit permission to test (e.g., unauthorized scanning of third-party repositories).
• Reselling the Service or its reports without our prior written consent.
• Using the Service to develop a competing product or service.

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by the competent courts of [Milan], Italy.
